Terms A–Z

Cap table
The record of who owns what in a company: share classes, holders, amounts and the transactions that changed them.
SAFE
A Simple Agreement for Future Equity — an instrument that converts into shares at a later financing event.
Convertible note
Debt that can convert into equity under agreed terms rather than being repaid in cash.
Option pool
Shares reserved for issuing options to employees, advisors and other service providers.
Vesting schedule
The timetable over which an option or share grant is earned by its holder.
Warrant
A right to purchase shares at a set price within a defined period.
Transfer agent
A regulated entity that maintains the official record of a company's securities holders.
Reconciliation
Comparing cap table entries against executed agreements and approvals to confirm the record is accurate.
